Local Business Owner Files Suit Alleging Fraud and Mismanagement

ST. PETERSBURG, FL [December 2, 2024] – Damon Binder, a member of Bulldog Roofs, LLC, a Florida roofing company, has filed a lawsuit against his two business partners, alleging breaches of fiduciary duty, fraud, and conversion of company funds. The complaint, filed in the Sixth Judicial Circuit Court of Pinellas County, details a pattern of wrongdoing that has significantly damaged the company and personally harmed Mr. Binder.

The lawsuit states that the partners of Mr. Binder in Bulldog Roofs, LLC, have engaged in a series of actions designed to enrich themselves at the expense of the company and Mr. Binder. These actions allegedly include:

Unauthorized Transfers of Funds: The defendants illegally transferred company funds to their personal accounts.

Forged Signatures: Mr. Binder states that the defendants forged his signature on official documents, including affidavits required for roofing inspections. This alleged forgery facilitated fraudulent procurement of permits.

Breach of Contract: The defendants failed to pay Mr. Binder the 7% commission of gross sales stipulated in their operating agreement.

Failure to Provide Financial Information: The defendants refused to provide Mr. Binder with essential financial information and records relating to the company’s performance, despite repeated requests.

Mr. Binder is seeking a range of remedies, including financial compensation for damages and lost profits, an accounting of all company funds, and the removal of Mr. Binder’s partners from their positions within Bulldog Roofs, LLC. The complaint also requests an order granting Mr. Binder access to all company records, which he has been previously denied.
