1. Asset Purchases:

  • We represent buyers and sellers in the purchase or sale of a business. When buying a business you will either buy the shares of the company or the assets. If you buy the assets of a business (tangible assets and goodwill) you will use an Asset Purchase Agreement as the main document memorializing the terms of the sale. We know how to prepare, explain and negotiate Asset Purchase Agreements. The major benefit in an Asset Purchase is that you do not assume the liabilities of the business being purchased.

We do not represent the buyer or seller in the Closing and prepare customary, neutral oriented documents. We also serve as Escrow Agents holding down payments in trust and disburse funds at Closing.

  • Buying a business is one of the most important and sensitive decisions in someone’s life. The buyer is vested with time, resources and money. It is critical that a buyer understand what they are buying. The buyer needs to put together a team of professional advisors to assist in the purchase. The advisors include a business attorney, accountant and insurance agent. As your lawyers, we educate our client on the purchase of a business and outline the tasks to research prior to buying the business. We also assist in the negotiations with the Seller, landlord, banker and other parties involved in the purchase of a business.

  • A contract is the single most important legal document. Understanding the structure and meaning of a contract is critical. We will draft, review, interpret and negotiate all types of business contracts from a short one page contract to a complex 100 plus page contract. Contracts can vary from operating agreements, leases, promissory notes to asset purchase agreements and shareholder agreements.

Depending on the size of your business, you pay a low monthly fee (for 12 months) between $250.00 to $750.00 to obtain strategic business advice. We will also do a pre-incorporation name search, register the LLC or Inc., order the LLC or Corporate book, draft the relevant LLC or Corporate documents and provide pre-incorporation advice.
  • 7. Licensing | Joint Ventures

  • We draft Licensing and Joint Ventures Agreements which reflect the intent of the parties and transaction. We strive for clarity in the drafting and interpretation of these agreements. There is an art and science to drafting a Licensing Agreement and Joint Ventures and we know how to apply them.
